CMS Francis Lefebvre advised the management of Neoen, France's leading renewable energy producer, in the context of the acquisition by a consortium led by Brookfield of a majority stake in the company from Impala SAS, Cartusia SAS and other key shareholders and the contemplated simplified tender offer, followed, if the legal and regulatory conditions are met, by a mandatory squeeze-out procedure.
The completion of this transaction, which follows the signing of a share purchase agreement between the parties in June 2024, comes after Brookfield obtained all necessary approvals, including those relating to merger control and foreign investments.
The price offered by Brookfield values Neoen at €6.1 billion (equity value).
