Société Française de Fiducie (Virginie Verfaillie Tanguy and Guilhem Bremond, trust partners, and Marie Crumière and Camille Moïse, trust associates) have completed the formation of a trust in the framework of a complex operation to implement a recovery plan involving a partial asset transfer within the Anagram wine-merchant group (formerly Raphaël Michel-Dolia).
This trust secures the successful completion of the plan presented by Labruyère Développement & Industries (Sébastien Bouvet and Nicolas Frigeri) implemented by administrator Olivier Fabre.
The new investor and beneficiary of the trust was advised by the firm Simon & Associés (on restructuring aspects: Jean-Charles Simon, Philippe Saigne and Sophie Nayrolles, partners, and Patrice Montchaud, associate, on corporate aspects) and CEGC, the other beneficiary, by CMS Francis Lefebvre Avocats (Insolvency: Alexandre Bastos, partner, Guillaume Bouté and Clémentine Quintard, associates).
the tax structuring of the transfer of the assets to the trust and the tax treatment of the trust and the trustee were covered by Michel Collet (CMS Francis Lefebvre Avocats).
Another trust is due to be concluded in the near future as part of the same operation.
