István is an associate in the corporate/M&A team at CMS Budapest.

He joined CMS after graduating summa cum laude from Eötvös Loránd University in 2018. Before joining the firm, István worked as a legal trainee at an aviation company.

István specialises in corporate law and has gained substantial experience advising clients on both domestic and international corporate transactions and projects including due diligence, mergers and acquisitions, joint venture establishments and company formations.

István has experience in a broad range of corporate /M&A transactions and has been engaged in several types of corporate maintenance activities.

Relevant experience

  • Cinven and Partner in Pet Food (PPF) – on the vendor due diligence and acted as sell-side legal counsel (alongside Freshfields) regarding the sale of the PPF group, a leading animal food manufacturer with operations in over ten countries. The mandate involved coordinating the transaction across five jurisdictions—Poland, the Czech Republic, Slovakia, Romania, and Hungary—and providing comprehensive support to the sell-side advisory team throughout all stages of the transaction process.
  • CVC/Emma Capital - on the acquisition of FoxPost, Hungary’s leading parcel locker service provider and a key e-commerce logistics player, by CVC Funds in partnership with Emma Capital. The transaction was executed through the Czech-based entity Cube Bidco S.R.O., marking a significant strategic investment in the Hungarian logistics sector.
  • A prominent international technology and software consultancy group - on a complex multi-jurisdictional tax and legal restructuring involving entities in Austria, Germany, Hungary, and Switzerland.
  • Qvantum Energi AB – on the acquisition of Electrolux’s production facility and business in Hungary. The comprehensive mandate included legal due diligence, the establishment of a Hungarian subsidiary, merger clearance, and FDI filing. Additionally, the instruction covered transactional advice on the business transfer agreement, guidance on state subsidies, labour law integration, and tax structuring.
  • Chemaxon - on the sale of Chemaxon, a life sciences software company with subsidiaries in Basel, Boston, San Diego, and the UK, to U.S.-based Certara. Our team handled the transaction, from drafting and negotiations to closing and strategic advisory.
  • Leading global live entertainment group – acted as legal advisers, through Freshfields, in connection with the proposed sale of the group, which owns major international music festivals, including prominent events in Hungary. The mandate involved the preparation of a legal fact book to facilitate due diligence for potential bidders and conducting comprehensive legal due diligence on four Hungarian subsidiaries of the target group.
  • A major defence company in Hungary - on the establishment and operation of  joint venture companies.
