Szabina is a senior associate in the Corporate/M&A practice group at CMS’s Budapest office.

Szabina has substantial experience in advising on both domestic and cross-border M&A transactions and has been involved in several business transfers, company restructurings and joint ventures in a wide variety of sectors. She regularly handles Hungarian FDI licensing procedures and has also been engaged in various capital markets transactions. Szabina advises a wide range of clients on general corporate governance matters and generally assists in the analysis of complex company law issues.

Szabina graduated summa cum laude from Eötvös Loránd University in 2016 and simultaneously completed a French-Hungarian Comparative Law course organised by Université Panthéon-Assas Paris II. She is a qualified lawyer in Hungary and was admitted to the Budapest Bar Association in 2020.

Relevant experience

  • Faerch A/S - on the sale of the Debrecen-based blow moulding business line of Paccor Hungary Kft, a member of the Faerch Group. The transaction was structured as a management buy-out (MBO), involving a complex transfer of assets, commercial contracts, real estate, employees, intellectual property rights, and IT data.
  • De Lage Landen International - on the strategic exit of DLL, a Rabobank Group entity from two Hungarian leasing companies to GRÁNIT Bank Zrt., including managing the bidding process, SPA negotiation and signing, transaction closing, and transitional services.
  • WIRTGEN Invest Energy GmbH on their acquisition of solar power plant company LEHEL Solar Kft. from ABO Wind AG, marking the client’s entry into the Hungarian power market. The mandate included conducting comprehensive legal due diligence, performing a foreign direct investment (FDI) analysis and filing, and assisting with the preparation, negotiation, and signing of the sale and purchase agreement. Further support was provided throughout the period from signing to completion, including transaction closing and various post-closing matters.
  • LG Chem Ltd. on the Hungarian legal aspects of a quota subscription in Toray Industries Hungary Kft., the establishment of a joint venture and the subsequent acquisition of 100% of the target company including also the assistance with complex, multiple stage FDI licensing procedures.
  • Iberdrola - on the sale of its Hungarian subsidiary, Iberdrola Renovables Magyarország Kft., to a consortium formed by Premier Energy and the Hungarian group iG TECH CC. The EUR 171.2 million transaction included the transfer of 79 operational wind turbines with a combined capacity of 158 MW, all developed and commissioned by Iberdrola following its entry into the Hungarian market in 2008.
  • Framatome on the acquisition of Evopro, including a complex legal and tax due diligence, as well as legal assistance with transaction documentation and FDI licensing.
  • E.ON Hungária on two public takeovers on the Budapest Stock Exchange as part of a global transaction involving E.ON group’s acquisition of the Innogy group. 
  • Liberty Global on the Hungarian (and Czech and Romanian) aspects of Vodafone’s EUR 18.4bn acquisition of Liberty Global’s European assets, which was the largest transaction in CEE in recent years.
  • Constantia Flexibles International GmbH on the acquisition of LÁSZLÓPACK Ipari, Kereskedelmi és Szolgáltató Kft., a Hungarian family-owned packaging distribution and film printing company.
  • Budapest Metropolitan University on the sale of BKF Fenntartó Kft., the holder of Budapest Metropolitan University’s operating right, by its sole owner Central European Education Holding Zrt., ultimately owned by CEE Equity Partners, in a competitive tender process to a Hungarian private equity fund purchaser.
  • A major manufacturing company on the acquisition of a minority shareholding in a leading Hungarian ICT company listed on the Budapest Stock Exchange.
