Zoltán is a Hungarian qualified lawyer who specialises in corporate law and M&A transactions.

Zoltán has more than 20 years’ experience in advising both domestic and international clients on corporate M&A transactions and projects, including due diligence, mergers and acquisitions, cross-border deals, restructuring and joint ventures. He has participated in the implementation of several complex M&A transactions and has been engaged in various types of corporate maintenance activities. 

He also has substantial experience in counselling Warranty & Indemnity Insurance underwriters. 

Relevant experience

  • Corvinus Zrt. - on Hungary’s largest multi-billion-dollar acquisition, in which Corvinus Zrt. and Vinci SAS acquired 100% of Airport Holding Kft., the operator of Budapest Liszt Ferenc International Airport. CMS navigated a complex, multidisciplinary task, balancing the interests of buyers, sellers, banks, and authorities.
  • Faerch A/S - on the sale of the Debrecen-based blow moulding business line of Paccor Hungary Kft, a member of the Faerch Group. The transaction was structured as a management buy-out involving a complex transfer of assets, commercial contracts, real estate, employees, intellectual property rights, and IT data.
  • A leading global renewable energy company - on the sale of its Hungarian subsidiary, which owned six operating wind power assets. 
  • CVC/Emma Capital - on the acquisition of FoxPost, Hungary’s leading parcel locker service provider and a key e-commerce logistics player, by CVC Funds in partnership with Emma Capital. The transaction was executed through the Czech-based entity Cube Bidco S.R.O., marking a significant strategic investment in the Hungarian logistics sector.
  • De Lage Landen International - on the strategic exit of DLL, a Rabobank Group entity, from two Hungarian leasing companies to GRÁNIT Bank Zrt., including managing the bidding process, SPA negotiation and signing, transaction closing, and transitional services.
  • A major multinational corporation - on the sale of its wholly owned Hungarian automotive trade and service subsidiary to a leading international automotive manufacturer. The mandate involved representing the seller in all aspects of the transaction and the successful disposal of its interests in the Hungarian entity.
  • Advising the underwriters of buy-side W&I Insurance in several M&A transactions.
  • AXA Insurance - on the sale of 100% of its shares in its life insurance business in Hungary to Vienna Insurance Group.
  • Partner in Pet Food - on the acquisition of the pet food unit of Agro-Trust, a Hungarian family-owned business, dealing with pet food manufacturing and agricultural services.
  • RTL Group (Bertelsmann Group) - on the acquisition of seven broadcasting channels, which was a unique, standalone acquisition in the TMT sector in the country. This included M&A, structuring, competition and media regulatory work.
