CMS Luxembourg advised Quantumrock GmbH on the setup of the Securitisation Vehicle, known as Quantumrock Securitization S.à.r.l. ('Quantumrock SV') and its Compartment Rough Gemstone I. CMS also played a pivotal role in crafting the necessary documentation for the structuring process, facilitating the issuance of USD 125 million Rough Gemstone I Secured Certificates, and actively ensuring their listing on the Professional Segment of the Euro MTF of the Luxembourg Stock Exchange, introducing a compelling new asset class option for professional investors.
The funds of the Rough Gemstone I Secured Certificates are deployed to acquire an interest over a substantial stock of well-documented pre-cut, rough gemstones and to provide finance to various aspects of their transformation into the final products of cut and polished stones. This includes logistics, insurance, storage, cutting, packing, certification, digitalisation, brokerage, sales, commissions, inspections, and all expenses related to the development of rough gemstones into the end products, cut, and polished stones. Holders of the 2 years-due Certificates will be entitled to perceive a return linked to the value of the final assets.
