CMS Luxembourg advises DigitalBridge on the acquisition of the majority stake in GD Towers

CMS Luxembourg provided legal advice to funds managed by DigitalBridge Group, Inc. (“DigitalBridge”) in relation to the acquisition by DigitalBridge, together with Brookfield Infrastructure Partners (“Brookfield”), of the majority stake in GD Towers.

The 51% participation in GD Towers, operating the towers business consisting of more than 40,000 mobile sites in Germany and Austria, with around 800 employees, was acquired from Deutsche Telekom at enterprise value of approximately EUR 17.5 billion. The transaction has been successfully completed on 1 February 2023.

CMS Luxembourg advised, in particular, on the Luxembourg corporate law aspects of the joint-venture with Brookfield and the equity funding of the acquisition. The team was comprised of Partner Pawel Hermelinski, Senior Associates Marie Dupuis and Johann Parmantier, and Managing Associate Angélique Eguether.
