Nicole Kuijer is counsel and member of the Commercial practice area group of our firm in Amsterdam.

Nicole is active in various areas of commercial law including distribution agreements, franchise agreements, wholesale agreements, agency agreements, general terms and conditions, supply services, e-commerce, data protection, design and manufacturing, marketing, consumer sales within our firm's consultancy and litigation practice. Nicole advises clients on a large number of these agreements, including restructuring of commercial contracts, negotiating contracts or providing legal assistance before the court.

Nicole is associated as lawyer at CMS since 2007, with an interruption in 2015-2016. In that period she has been working for the Social-Economic Council and the modification of the Merger Code. In 2016 Nicole returned to CMS.

Relevant experience

Advising on the development and legal framework of B2B2C platforms in the agricultural sector, including the drafting and negotiation of underlying commercial agreements and internal policies.
Representing clients in judicial proceedings at both the court of first instance and court of appeal in disputes concerning the formation of sales and purchase agreements, for example where contractual intent was contested after extensive commercial negotiations.
Drafting and tailoring a variety of commercial template agreements for use in dealer networks.
Advised on the establishment of a new (overall) set of general terms and conditions of sale for one of the world's largest distributors of computer and technology products establishing
Advised in several judicial (interlocutory) proceedings in the food industry with respect to disputes with franchisees
Advised on the set-up of a consortium agreement for a furniture manufacturer in relation to a tender process
Advised on several manufacturing agreements in a large number of branches, including food, retail, furniture, healthcare
Comprehensive contract reviews of supply agreements and negotiations
