CMS Grau advised Banco Internacional del Perú S.A.A. (“Interbank”) as lender in the structuring, negotiation, and disbursement of a medium-term loan of up to PEN 17 million (the “Loan”) in favour of Aramburú Matriz S.A.C. (“Aramburú”), the parent company of the Arama Gastronomic Group (the “Group”), which, among others, operates the restaurant “CALA”.
The Loan is backed by a package of guarantees, including (A) a trust estate of assets, consisting of shares in one of the Group’s companies and rights over some of the Group’s brands, including the “CALA” brand; and (B) a trust estate of flows, consisting of receivables and flows derived from the operations of three Group companies with clients for payments made by debit and credit cards. The trust agreements for both estates include La Fiduciaria S.A. as trustee.
The Loan will be used by Aramburú to (i) prepay certain debts of the Group’s companies; and (ii) finance investments in new projects through loans and/or capital contributions in favour of the other Group companies.
The transaction closed on 28th June 2024, and the funds were disbursed by Interbank to Aramburú on the same date.
