CMS advises on the sale of cosmetic brand

CMS has advised PZ Cussons, a leading consumer products group in Europe, Asia and Africa, on the sale of LUKSJA, a Polish personal care cosmetics brand available in several CEE and former CIS countries, to the Sarantis Group. 

LUKSJA is a brand with a successful 30-year history in the Polish cosmetics market. As part of the deal, PZ Cussons and Sarantis also agreed to enter into a distribution agreement whereby Sarantis will distribute certain PZ Cussons core brands (including Carex, Original Source, and Morning Fresh) in Poland, as well as in CEE.

The CMS team provided PZ Cussons with comprehensive transactional advice relating to the sale of LUKSJA from the Polish law perspective. The CMS team was led by Błażej Zagórski, attorney at law and partner, and Katarzyna Dulewicz, attorney at law and partner. Transactional lawyers supporting the deal included Grzegorz Pączek, advocate and senior associate, who coordinated the process, Rafał Burda, advocate and senior associate, Joanna Białoskórska, attorney at law and associate, as well as Patrycja Maliszewska, lawyer, from the Corporate/M&A practice. 

Tomasz Sancewicz, advocate and counsel, Agnieszka Kałwa, advocate and associate, and Aleksandra Nowakowska, advocate trainee and lawyer, all supported on the employment aspects of the transaction.

Małgorzata Urbańska, attorney at law and partner, supported by Izabela Biernat, advocate and senior associate, and Krzysztof Sikora, attorney at law and associate, advised on competition aspects of the transaction, while Maciej Olejnik, attorney at law and senior associate, handled IP matters related to the deal.

Maxim Boulba, partner at CMS Moscow, assisted on all Russian law aspects of the transaction.
