CMS advises Żabka Polska on three corporate PPAs in Poland

International law firm CMS has advised Żabka Polska on three contracts for the virtual purchase (settlement) of electricity generated from renewable sources directly from the generator, or corporate Virtual Power Purchase Agreements (VPPAs). The first contract is a long-term agreement with companies managed by Modus Asset Management, under which the generator will supply green electricity generated by a group of photovoltaic power plants with a total capacity of over 65 MW. Two further agreements with Qair group companies cover the virtual supply (settlement) of green electricity generated by an onshore wind farm and by a photovoltaic power plant. The contract provides for the supply of nearly 1.7 TWh of energy by 2038.

The CMS team advised Żabka Polska on the preparation, negotiation, and conclusion of all three VPPAs. The agreements are a further step towards the fulfilment of the Żabka Group’s decarbonisation plan to improve energy efficiency in the Żabka network and further reduce scope three emissions in its franchise stores.

The CMS team was led by Michał Andruszkiewicz and Łukasz Szatkowski, with support from Adam Kędziora and Kacper Stanosz (Energy and Infrastructure). 

CMS is one of the most experienced law firms in the RES market in Poland, including in M&A transactions, and supports clients from the development process through to providing regulatory advice. CMS lawyers have also advised on the negotiation and conclusion of some of the first corporate PPAs in Poland, acting for both power offtakers and generators. They also advise on offshore projects in the Baltic Sea, including the construction of offshore gas pipelines, drilling platforms, and wind farms.
