CMS Wistrand advises SBB on SEK 32 billion transaction creating Europe’s largest listed social-infrastructure platform through Public Property Invest ASA

CMS Wistrand has acted as legal advisor to Samhällsbyggnadsbolaget i Norden AB (SBB) in connection with the company’s divestment of its social infrastructure property portfolio to Public Property Invest ASA (PPI). The transaction, with a property value of approximately SEK 32 billion, is one of the largest in the Nordic region this year and marks the final step in SBB’s strategic transformation.

With the transfer of approximately 740 social properties, SBB is streamlining its operations into three distinct segments: education, residential, and social infrastructure. The transaction strengthens the company’s financial position by reducing debt, extending maturities, and providing greater flexibility to support continued growth. SBB retains a majority stake in Public Property Invest ASA (PPI), which thereby becomes the leading listed platform for social infrastructure in Europe.
