Diann specialises in mergers and acquisitions in the mining industry, mining regulatory work and legal due diligence. She has substantial experience in corporate transactions, conducting legal due diligence investigations, regulatory matters and negotiating commercial transactions. She advised and has been involved in matters with both local and international clients on compliance with mining and mineral law. Diann has over 6 years of experience in corporate and commercial law. 

She was an attorney at a leading full-service law firm on the African continent for 8 years before joining CMS, where she advised mining clients on corporate and commercial matters. Some of the key issues, affecting mining companies today are continued regulatory uncertainty in the mining industry, BEE compliance, compliance with ESG principles in the mining industry, particularly in relation to climate change, communities and mine closure and related issues such as the impact of the electricity shortage and issues with logistics in mining operations. Based on her years of experience, Diann understands the mining industry and regulatory climate in South Africa, and is able provide not only legal but commercially driven advice for an everchanging industry. 

Diann has also acted for a community on a pro bono basis to negotiate and conclude a use and access agreement and has a keen interest in rights of women in mining.

  • African Parks Network - assisted as the lead legal advisors with a last-minute ‘lifeline’ in a major purchase and rhino rewilding project for 2,000 African rhinos. 
  • Anglo American - in relation to its internal reorganisation including the separation of Anglo Group's South African "thermal coal" assets and business operations from the group's remaining assets and subsequent demerger and listing of those assets on the Johannesburg Stock Exchange and the London Stock Exchange.
  • Ndalamo Resources (Pty) Ltd - in relation to the potential acquisition by of the entire issued share capital in Exxaro Coal Central Proprietary Limited and the business of Leeuwpan Coal Mine. 
  • Universal Coal Plc - in relation to the acquisition of North Block Complex, an operational mining and minerals processing business, located proximate to Belfast in the Mpumalanga Province of South Africa.
  • Naspers - in relation to the unbundling of 438 837 468 ordinary shares in MultiChoice Group (being 100% of the issued MultiChoice Group shares and all of the MultiChoice Group shares held by Naspers) to Naspers shareholders through a pro rata distribution in specie.
  • Danoher Botswana - in relation to the acquisition of shares in PPC Aggregates Quarries Botswana.
  • Bushveld Mineral Resources - in relation to its proposed dual primary listing on the main board of the Johannesburg Stock Exchange.
  • Richards Bay Mining and Richards Bay Titanium - in relation to its BEE structure, trust reform and various regulatory matters.
  • Triple Flag Mining Finance Bermuda - in relation to its successful stream transaction with Bushveld Minerals.
  • Tshipi e ntle manganese - in relation to various regulatory matters. 
  • Engie Southern Africa - in relation to the potential acquisition of a gas distribution and transmission pipeline from Sale Gas.
