Kagiso is a director and head of our Real Estate and Conveyancing practice. She is an admitted Attorney, Notary Public and Conveyancer whose practice areas include notarial work as well as commercial and residential conveyancing. Her work spans the full lifecycle of commercial transactions, and her expertise include:

  • Registration of commercial and residential transfers as part of commercial transactions such as the sale of letting enterprises or businesses as a going concern;
  • Registration of mortgage bonds and notarial bonds (special and general notarial bonds) as part of real estate financing, project financing and business restructuring transactions;
  • Drafting, vetting and negotiation of property-related agreements such as leases, sale agreements, sale of leasing enterprise agreements, and various notarial deeds such as  servitudes, notarial leases and notarial ties;
  • Real estate due diligence investigations as part of proposed restructurings, sales of business or sale of shares transactions;
  • Registration of subdivisions and consolidations; and
  • Notarial attestations and authentications including the legalisation of documents for use outside of South Africa.

She advises and assists national and international market leaders in the real estate industry - financial institutions, property managers and property developers, real estate agents and project managers across various sectors. Her next-generation mindset is woven into all she does. It means she can anticipate the likely challenges, accelerate her pace and create the space to develop innovative solutions.

Relevant experience

  • A government owned development finance institution – drafting and reviewing site usage and long-term lease agreements to be entered into between our client, an NPO tenant and third party landlords. We are also attending to the registration of the notarial leases over the properties which will be developed as community centres to address the community’s socio-economic needs.
  • A leading global investment bank and wealth management firm - reviewing and advising on the lease terms and renewals pertaining to the client’s main offices in South Africa.
  • An owner managed multi-channel customer experience consultancy - reviewing and advising on lease agreements relating to the clients administration offices in Cape Town and Kwa-Zulu Natal.
  • A large Australian private equity firm - in connection with its vendor due diligence relating to the proposes disposal of the targets entire shareholding in the content agency (England & Wales). We assisted in relation to reviewing and providing a red flag report on the leasing arrangements of the South African subsidiary.
  • A corporate finance group – a due diligence investigation in respect of the group’s proposed acquisition of a target company, that is a specialists in implementing Robotic Process Automation and Intelligent Automation, by way of the purchase of 100% of the issued share capital of the target. Our scope of work in terms of the transaction included conducting a full scope legal due diligence in respect of the real estate leasing arrangements of the target.
  • One of Britain’s largest carriers – reviewing, vetting and advising on their lease renewal and new lease agreement relating to their operations in South Africa.
  • Advised and registered a general notarial bond for the value of ZAR100 million to secure existing facilities on behalf of a local financial institution. Transaction related to loan financing for a South African mining and construction equipment company.
  • American multinational technology corporation – attending to high level review of proposed exhibition agreement as part of the corporations South Africa offering.
  • Local entertainment company – drafting and advising on lease for the development of a restaurant and arts and culture hub.
  • A scholar transportation company – in relation to the preparation and registration of a general notarial bond for the value of ZAR8 million as part of a fleet financing transaction.
  • Leading financial advisory and private equity firm – in relation to conducting a real estate related due diligence on proposed acquisition of real estate rights for the intended operation of a hotel.
  • A telecommunications company – on the renewal, termination, amendments and related matters relating to its national infrastructure leases.
  • African Parks Network - assisted as part of the lead legal advisors with a last-minute ‘lifeline’ in a major purchase and rhino rewilding project for 2,000 African rhinos.
  • Leading African corporate and investment bank – in relation to the registration of a general notarial bond in connection with a restructuring of a company that supplies equipment for construction, earthmoving, mining, and quarrying.
  • A major commercial bank – attending to the registration of cancellations of various mortgage bonds registered in favour of the bank in relation to the security restructuring of an entity in business rescue.
  • A government owned asset management firm – a real estate due diligence investigation of the property portfolio in relation to the equity subscription of a newly established property holding structure. The property holding structure will be established for purposes of offering a diversified investment portfolio of retail, industrial, leisure and premium grade offices located across various provinces in South Africa, with a pipeline of developments in alternative specialised sectors such as health care, education, fuel stations, residential and data centres.
  • A government owned asset management firm – a real estate due diligence investigation of the property portfolio in relation to a special purpose vehicle (Newco) that will house a diverse property portfolio valued at approximately ZAR5 billion, comprising of retail, commercial and industrial properties located across South Africa. The proposed transaction will be preceded by an internal restructure after which all of the properties will be housed in Newco.
  • Titanium ore, zircon and other materials mining and processing company – in relation to assisting client with creating a leasing template for farmer grazing purposes.
  • Exxaro Resources Limited – acting as legal advisers on the disposal of Exxaro’s equity interest in Exxaro Coal Central Proprietary Limited and it’s Leeuwpan Coal Mine operation. We assisting with conducting a legal vendor due diligence on the client’s current leasing arrangements and advising on potential condition precedents.

Relevant experience

  • A local development finance institution – drafting a red-flag due diligence and security documents regarding funding which was to be provided to a local renewable energy entity for the design, engineering, procurement and construction of two rooftop solar projects on leased premises. The two rooftop solar projects of at least 2 MW and 4.8 MW are part of a power purchase agreement, where the commercial energy will be sold to an aluminium company. The transaction documents included the registration of a special notarial bond, general notarial bond and mortgage bond over a lease agreement for ZAR114 480 000 each.
  • A renewable energy company - drafting and finalising of templates relating to an option to lease agreement, notarial lease agreement and servitude agreement for ongoing use by the client on their renewable energy projects.
  • A developer in green energy solutions - as part of the proposed development of a 600 MW Solar Plant, Battery Energy Storage Systems and Grid Connection Project in the North-West we attended to the drafting and negotiation of the proposed option to lease and notarial deed of lease of the underlying property.
  • A developer in green energy solutions – advising and negotiating property related agreements in relation to the development of a Battery Energy Storage System as a part of the second bid submission of the Department of Mineral Resources and Energy Battery Energy Storage IPP Procurement Programme with a contracted capacity of 77 MW.

Relevant experience

  • A major commercial bank – advising the bank as primary funder in relation to a commercial property financing transaction totalling ZAR1.4 billion for the development of a shopping centre, an expansive 50,000 square meters retail mall in KwaZulu-Natal. As part of this transaction, we attended to the registration of various mortgage bonds totalling ZAR1.7 billion.
  • A local government development agency - drafting and registration of a notarial lease between the Gauteng Department of Infrastructure and the Gauteng Department of Economic Development to enable the GIDZ to exercise its rights and perform obligations of the Gauteng Department of Economic Development and, amongst other things; procure a suitable contractor to undertake infrastructure works within the OR Tambo International Airport Precinct 2.
  • An investment, corporate finance advisory and fund management company - drafting, negotiation and registration of security in favour of the client which consisted of continuing covering mortgage bonds of specified property to be used as student accommodation for ZAR52 million as part of an intercreditor agreement.
  • A major commercial bank – advising in relation to the proposed funding for the development of a 127-key hotel as well as branded residences, co-working space and parking with a small retail and commercial component. Assisting with the drafting, negotiation and conclusion of the transaction documents which includes the registration of a mortgage bond and general notarial bond to give effect to the proposed transaction.
  • A company specialising in project advisory and development management  - advising the Municipality on the procurement of the financing, construction, operation and maintenance of new water re-use plant at its wastewater works. We conducted a legal real estate due diligence investigation considering the restrictive conditions of title of the properties forming part of project.
  • A cloud computing company -  following the launch of our client’s data centre in South Africa we are providing legal real estate advisory support with the energisation and expansion of the data centre. This work has included advising on the South Africa property transfer process, servitudes, subdivision and consolidation process as well as short term lease requirements relating to the development of the data centre.
