Karabo is a Senior Associate in the Banking and Finance team at CMS South Africa.

She is a LLB and Advanced Commercial Law graduate from the University of the Free State. Her experience spans diverse areas, including leveraged and asset finance, general corporate finance, structured finance, fund financing and Islamic finance, as well insolvencies and restructurings in both listed and unlisted environments.

She also has cross-border experience ranging across Africa, Asia and Europe. Karabo has acted for a number of local and international banks, development finance institutions, funds and corporate borrowers in complex transactions, across various industries.

Karabo has experience as in-house counsel having worked for a listed financial services group.
 

Relevant experience

General Banking and Finance experience
  • Absa Bank Limited and HSBC Bank plc - acted as lenders' counsel to Absa Bank and HSBC Bank on their advancement of a joint ZAR 5.9 billion facility to Air Liquide Large Industries South Africa Proprietary Limited for the refinancing of the oxygen and associated gases production business acquired from SASOL South Africa Limited. 
  • Absa Bank Limited - acted as lender's counsel to Absa Bank in advancing a ZAR 1 billion facility to a large African based telecommunications company.
  • Absa Bank Limited - acted as lender's counsel to Absa Bank in relation to a ZAR 300 million term loan for the acquisition of taxis.
  • Development Bank of Southern Africa - acted as lender's counsel in relation to a senior debt facility of ZAR 38 million towards the implementation of the Hull Street Social Housing Development Project (‘Project’) in the Northern Cape. The Project aims to develop, finance, lease and maintain 372 housing units for qualified beneficiaries.
  • DEG - Deutsche Investitions und Entwiclungsgesellschaft mbh acted as South African lenders counsel to DEG on its ZAR400,000,000 term facility to Access Bank South Africa Limited.
  • Industrial Development Corporation of South Africa Limited - acted as lender's counsel in relation to the provision of various facilities, in aggregate, in the amount of R96 million to Artsolar. This was for purposes of the expansion and upgrading by Artsolar of its solar facilities photovoltaic panel production facility in order to supply sponsors and developers under the Renewable Energy Independent Power Producer Programme.
  • Tamela Mezzanine Debt Fund I Partnership - acted as mezz lender's counsel in the ZAR 75 million to a growing micro-lender to grow its advances book to its end-users.
Trade & Commodities Finance
  • Absa Bank Limited - on a structured trade facility made available to an international agricultural commodities trader in Singapore, Robust International, to be utilised across various African countries.
  • Absa Bank Limited - on a structured trade facility made available to an international physical commodities trader in Switzerland, Telf AG, to be utilised across various African countries. 
  • Absa Bank Limited - on a structured trade facility made available to one of the largest collectors of raw milk in South Africa, Dairy Farmers South Africa.
  • Absa Bank Limited - on a structured trade facility made available to one of a scrap ferrous and non-ferrous and minerals trader in South Africa, Zulu Metals Proprietary Limited.
Project Finance
  • Development Bank of Southern Africa - as equity lender on the first of its kind two 100MV solar PV projects with Tronox Mineral Sands Proprietary Limited as the sole offtaker.
  • Nedbank Limited - as senior lender to Talbot Integrated Services Proprietary Limited on the construction of a water recovery plant.
Restructuring and Insolvency
  • German airline - in relation to its application in the Mango Airlines SOC Limited business recue proceedings.
  • A majority shareholder - on the business rescue proceedings of a listed agriculture and agri-processing company.
  • A major bank - on the strength of its security position and ranking after it advanced a USD 20 million revolving facility to a significant trader in chrome ore.
  • A major bank - on the restructuring of its debt and equity exposure to one of the largest property investment and development companies in South Africa.
