CMS advises Nilario (backed by Systematic Growth) on the acquisition of SENIS AG

Nilario Group, backed by Swedish company builder Systematic Growth, has acquired all of the shares in SENIS AG. As part of the transaction, SENIS has been split into two independent entities: SENIS AG, which has been acquired by Nilario, and SENISENS AG.

SENIS AG is a global leader in instruments for magnetic field and electric current measurement. With a strong track record and being trusted by companies such as ABB, Siemens, and Porsche, Senis joins Nilario to accelerate international growth and broaden its product portfolio. Headquartered in Zug and with an accredited calibration lab in Niš, Senis develops and manufactures world-leading 3‑axis magnetic field mappers, magnetometers, and cameras providing true 3D field measurements with unique accuracy and resolution. Senis’ hardware and software solutions are adopted by demanding customers in industries such as MedTech automotive, defense and space.

Nilario was founded in 2024 by Systematic Growth with the mission to build a group of like-minded companies within critical measuring solutions. The sellers and the management team of SENIS AG will also be committed shareholders in Nilario, alongside the majority owner. This ensures long-term continuity, deep technical leadership, and alignment of vision across all levels of the company. The entire SENIS AG management and expert instruments team remains in place. Business as usual will continue for customers and partners – with continuity in quality, service, and innovation – but now with expanded global reach and synergies enabled by the Nilario ecosystem.

An international team of CMS led by Klaus Jäger (Relationship Partner), Daniel Jenny (Partner) and Florian Jung (Senior Associate, both Corporate/M&A) has comprehensively advised the buyer on this transaction. Teams of CMS Switzerland, CMS Germany, CMS Serbia, and Snellman Advokatbyrå AB were involved in this cross-border transaction.
