Becoming a public limited company – CMS advises Raiffeisen Waren-Zentrale Rhein-Main on change of legal form

Düsseldorf – Raiffeisen Waren-Zentrale Rhein-Main eG (RWZ) unanimously adopted a resolution to change its legal form at the General Meeting held on 27 April. The members present accepted the recommendation put forward by the management board and supervisory board to convert the cooperative (eingetragene Genossenschaft, eG) into a public limited company (Aktiengesellschaft, AG). The management board believes that the change offers RWZ a much better basis for its future development. The steps needed to enter RWZ AG in the commercial register will now be taken in the coming weeks. 
As things stand, the change of legal form is expected to be completed in early autumn. 

A CMS team headed by lead partner Dr Dirk Jannott advised RWZ on legal aspects of the change of legal form. The advice included complex transformation law issues, drafting the documentation for the change of legal form and the future AG, and preparations and legal support for the General Meeting. Employment law expertise was another requirement, given the need to deal with the implications of the change of legal form and the court appointment of employee representatives to the supervisory board.
