CMS advises Afinum on sale of Hamburg-based Garz & Fricke Group to Seco S.p.A. of Italy

Munich – AFINUM Siebte Beteiligungsgesellschaft mbH & Co. KG, which is advised by Afinum Management GmbH, has signed an agreement to sell Garz & Fricke Holding GmbH to Seco S.p.A., a listed Italian company operating in the AI and IoT sector. Garz & Fricke Holding is a German manufacturer and developer of hardware and software solutions for IoT, based in Hamburg. The total value of the transaction is EUR 180 million.

A CMS team headed by lead partner Dr Oliver Thurn advised Afinum Management GmbH on all legal aspects of the transaction. Afinum has also relied on the expertise of CMS in the past. Previous work has included the legal advice provided by the CMS team on the three pre-acquisition transactions by the Afinum Group: the acquisition of Garz & Fricke GmbH and of the two subsidiaries in the Garz & Fricke Group, Keith & Koep GmbH and e-GITS GmbH.
