CMS advises listed Spanish industrial and infrastructure company Acciona on takeover offer in connection with capital increase by Nordex

Hamburg – Spanish industrial and infrastructure company Acciona S.A. has fully subscribed to the capital increase carried out by German wind turbine manufacturer Nordex SE as part of a private placement. The roughly 10% capital increase with a total issue amount of around EUR 99 million raises Acciona’s stake in Nordex from 29.9% to 36.27%. In this context, Acciona announced on 8 October 2019 its intention of making a takeover offer to Nordex shareholders.

An international CMS team headed by client relationship partner Rafael Suárez de Lezo and lead partner Dr Henrik Drinkuth is advising Acciona on all legal aspects of this transaction. CMS advised Acciona on its original investment in Nordex in 2015.

Acciona S.A. is a Spanish industrial and infrastructure company which is listed on the Madrid Stock Exchange. The company chiefly operates in the areas of civil engineering, infrastructure construction and the energy sector. With its more than 38,500 employees, Acciona posted sales of over EUR 7.5 billion in 2018.

The Nordex Group is a German wind turbine manufacturer based in Rostock and Hamburg. The group has installed more than 25 GW of wind energy capacity across over 40 markets. In 2018, the company generated sales of around EUR 2.5 million and employed more than 6,000 people.
