Karsten Heider's work focuses on stock corporation and capital markets law. In addition to providing ongoing advice to listed stock corporations, for example on AGMs, D&O liability and insider trading law matters, he specialises in advising such companies on structural measures such as squeeze-outs, concluding inter-company agreements, delistings or reorganisations as per the German Transformation of Companies Act (UmwG). He also advises listed stock corporations and their majority shareholders on issues relating to de facto group relationships and contractual group relationships.
He also specialises in advising listed stock corporations and investors in the context of takeover proceedings in accordance with the German Securities Acquisition and Takeover Act (WpÜG).
Karsten Heider joined CMS in 1993 and has been a partner since 1999. Among other things, he is co-author of the Münchener Kommentar zum Aktiengesetz.
