Leipzig – Harald Quandt Industriebeteiligungen GmbH, a private equity firm owned by the Harald Quandt family, acquired a majority stake in the procilon Group at the end of December 2018. procilon is a solution provider for information security and data protection. The long-term partnership is aimed at driving forward the Group’s growth and international expansion. The parties agreed not to disclose the purchase price.
A CMS team headed by lead partner Dr Jörg Lips advised the procilon Group shareholders on the legal aspects of the transaction. In addition to drafting and negotiating the structuring-related contract documentation, the work also included preparations for due diligence and advising on the bidding procedure and project management. The transaction is structured as a share deal with reinvestment by the sellers. A new management share scheme was also implemented.
Harald Quandt Industriebeteiligungen GmbH is based in Bad Homburg. The private equity firm is owned by the Harald Quandt family and a small number of selected (industrial) families and partners. It invests in small and medium-size enterprises in the German-speaking countries which operate in established, forward-looking and technically sophisticated sectors with attractive potential for growth.
The procilon Group is headquartered in Leipzig and has branches in Berlin and Dortmund. Established in 2001, it employs around 50 people. The company describes itself as a leading single-source provider of encryption software, offering a modular product portfolio for secure digital identification, communication and storage of data. Its client portfolio includes more than 1,400 companies, organisations and public sector bodies.
