Düsseldorf/Cologne – Stockmeier Holding GmbH, an international company based in Bielefeld, has changed its corporate form and will trade in future as a European stock corporation (Societas Europaea, SE). The recent entry of the conversion in the commercial register means that the firm is now operating as Stockmeier Holding SE.
CMS provided comprehensive legal support on this international project with a team led by Dr Alexandra Otto, Dr Dirk Jannott, Patricia Jares, Artur Baron, Carolin Millgramm and Caroline Rolf. Its advice to Stockmeier Holding GmbH included all corporate and employment law aspects of the conversion. The law firm was able to convert Stockmeier Holding GmbH directly into an SE by way of a sequenced conversion via the legal form of a stock corporation (Aktiengesellschaft, AG). Preparing and implementing the legally required international employee involvement procedure together with negotiating and concluding the SE participation agreement was supported by close collaboration with the CMS offices in Brussels, Paris, Rome, Amsterdam, Warsaw, Madrid, Vienna and Budapest.
The Stockmeier Group has over 1,900 employees across more than 50 locations around the world. By changing its legal form, the group aims to continue its growth and success of recent years. The international recognition afforded by the SE as an attractive legal form will enable the group to focus its holding company on this objective, while positioning it for the challenges of the future.
