Frankfurt/Main – Bruker Corporation, a NASDAQ-listed US tech company, has acquired a majority stake in the ZONTAL Group. Based in Germany, the US and China, ZONTAL is a leading provider of data platforms for the life sciences industry. The acquisition will enable Bruker to further strengthen the software division of the Bruker BioSpin Business Group, which will be renamed Integrated Data Solutions (IDS). In addition to ZONTAL, IDS includes Mestrelab Research, Arxspan and Optimal. Details of the transaction were not disclosed.
A CMS team headed by lead partner Dr Hendrik Hirsch advised Bruker on all legal aspects of the acquisition. Alongside the purchase agreement, the advice also covered extensive contractual arrangements with the founders of ZONTAL, who retain a substantial equity interest in ZONTAL and will remain involved in the management and strategic leadership of the ZONTAL Group. Bruker is a longstanding CMS client. It regularly relies on CMS’s expertise when making acquisitions and disposals, including during the recent acquisition of ACQUIFER.
The integrated IDS platform marks Bruker’s next step in advanced data management. ZONTAL offers the only enterprise-class, GxP-compliant data platform that manages data for the full product lifecycle. By integrating ZONTAL, IDS will be able to offer a unique vendor-agnostic portfolio of software solutions. The goal of these solutions is to support the global biopharma, pharmaceutical and chemical industry as well as scientific research, helping them to realise the full potential of their digital assets. This will enable accelerated innovation in the life science sector.
