Cross-border transaction: CMS advises SARIA on public takeover of global sausage casing manufacturer Devro

Düsseldorf – An international team led by CMS Germany advised the SARIA Group (SARIA) on the public takeover of the global Devro Group (Devro). SARIA is a service provider and manufacturer of quality products based on animal and organic materials for the agricultural, energy, animal feed, food, catering and pharmaceutical industries. Devro is regarded as a world-leading producer of collagen-based sausage casings and similar products. The company is listed on the London Stock Exchange. SARIA intends to use the acquisition to accelerate growth in key markets by extending its product range and scaling up its operations, and also to strengthen its own market position. The purchase price offered for all the Devro shares is around GBP 540 million (approximately EUR 625 million). The deal is scheduled to complete in the second half of 2023, subject to the approval of Devro’s shareholders and the competition authorities.

A broad-based international CMS team headed by lead partner Dr Dirk Jannott and lead counsel Katharina Franitza provided SARIA with legal advice on the transaction and coordinated the cross-border legal due diligence. In addition to international CMS teams from the UK, the Czech Republic, the Netherlands, China and Hong Kong, law firms from the US, Australia, New Zealand, Russia and Japan were also involved.
