International CMS team advises Advanced Capital Management Schweiz AG on acquisition of Saprofil
Düsseldorf – Advanced Capital Management Schweiz AG has acquired all the shares in Saprofil S. à r. l., a French producer of metal wire parts for the household appliance industry, from DRADURA Holding GmbH & Co. KG. Details of the transaction were not disclosed. The approval of the seller’s creditor committee, as set out in the agreement, was granted in December 2020.
An international CMS team headed by Dr Jürgen Frodermann and Nicole Mundhenke advised Advanced Capital Management Schweiz on all legal aspects of the transaction. In addition to negotiating and drafting the Sale and Purchase Agreement (SPA), the advice included transaction-related issues involving commercial and corporate law, insolvency law, accounting law and collective employment law, coordinating the international legal team, and organising and assisting with signing and closing. A special feature was that due to the opening of self-administration proceedings in relation to the seller’s assets, the negotiations were also conducted with the administrator handling the seller’s affairs, Mr Rüdiger Weiß, a lawyer from law firm WallnerWeiß. The “protective shield” insolvency proceedings initiated by the target in France were also exited in connection with the transaction. In parallel with the negotiations on the transaction, talks on securing liquidity and reorganising supplier relationships were held with the target’s core customers.
Advanced Capital Management Schweiz AG, which is based in Baar (Switzerland), is a private equity firm that invests primarily in restructuring situations while also providing management personnel.
