Savings bank merger: CMS advises on the merger of Kreissparkasse Steinfurt and Stadtsparkasse Lengerich
Stuttgart – Kreissparkasse Steinfurt and Stadtsparkasse Lengerich will merge on 1 January 2026. The merger of the two savings banks brings their total assets to over eight billion euros. Through the merger, the two savings banks will to combine their strengths so that they can master the challenges of a constantly changing financial world even better in the interests of their customers and their municipal owners. Kreissparkasse Steinfurt's special purpose association and Lengerich town council have both unanimously approved the merger.
A CMS team led by partner, Dr Harald Kahlenberg, provided comprehensive advice on merger control law in connection with the savings bank merger. Dr Harald Kahlenberg and his team regularly advise on savings bank mergers. Special merger control issues arise in connection with what is known as the "regional principle" and determining the relevant turnover of the owners of the savings banks when assessing the notification thresholds under merger control law. The trend towards savings bank mergers has been ongoing for several years. The reasons lie in the many challenges facing regional banks, such as the digital transformation, changing customer needs and growing regulatory requirements.
