CMS advises Gasunie on acquisition of stake in EUGAL pipeline project

Stuttgart – Distribution network operators Gasunie Deutschland Transport Services GmbH, GASCADE Gastransport GmbH, Fluxys Deutschland GmbH and ONTRAS Gastransport GmbH have signed a fractional ownership agreement for the EUGAL pipeline project (European Gas Pipeline Link). Gasunie Deutschland, Fluxys Deutschland and ONTRAS will each receive 16.5% of the shares in the project and future pipeline. GASCADE retains a 50.5% share and will continue to act as the lead project manager.

The European Gas Pipeline Link (EUGAL) is being built to handle gas from the proposed Russian-German Baltic pipeline Nord Stream 2. It will extend over some 485 kilometres, running from the Baltic Sea through Mecklenburg-Western Pomerania and Brandenburg to southern Saxony and from there over the border into the Czech Republic. The first pipeline string is scheduled for completion at the end of 2019.

A CMS team led by Dr Jochen Lamb and Dr Friedrich von Burchard advised N.V. Nederlandse Gasunie and Gasunie Deutschland on all legal aspects of the acquisition.

As a subsidiary of N.V. Nederlandse Gasunie, Gasunie Deutschland is responsible for management, operation and development of a distribution network with a length of around 3,800 kilometres in North Germany. Due to its geographical location, the Gasunie pipeline network, which totals more than 15,500 kilometres across the Netherlands and Germany, serves as a gas hub for North-Western Europe.

In Germany, GASCADE operates a pipeline system with a total length of around 2,400 kilometres. GASCADE’s network directly connects five European countries. The company is a joint venture between BASF subsidiary Wintershall and the Russian Gazprom Group.
