On this page

This publication provides a compact overview of the law of the German (listed) stock corporation (Aktiengesellschaft, AG).

In addition to its establishment, all stages in the "life of a German stock corporation" are covered with a focus on corporate governance. The publication describes the powers of the three corporate bodies, the Management Board (Vorstand), the Supervisory Board (Aufsichtsrat) and the General Shareholders‘ Meeting (Hauptversammlung), which are determined by the German Stock Corporation Act (Aktiengesetz, AktG), the company‘s Articles of Association (Satzung) and the respective by-laws for the Management Board and Supervisory Board (Geschäftsordnungen für den Vorstand und den Aufsichtsrat).

Post-listing obligations, public takeovers, squeeze-outs, delisting and liquidation round off the publication.
