CMS Bureau Francis Lefebvre advises the NGE Group on its acquisition of the Vaglio Group

CMS Bureau Francis Lefebvre advised the NGE group on the acquisition of the Vaglio group from its majority shareholder FPCI Hexagone III (LBO France), acquired in 2014 via an LBO.

The acquisition was completed jointly with FPCI France Investissement Croissance 4 (Bpifrance Investissement), which had been the mezzanine lender for the 2014 LBO, and Mr James Scheider, the former Vaglio group director and shareholder, who took the opportunity to re-invest.

The Vaglio group specialises in mining dressed stone from the Jaumont quarry between Thionville and Metz, machine transportation and leasing, crushing and production of aggregates, and storage of inert materials. Since 2013, the Vaglio group has also produced washed sand. It has almost 80 employees and achieved turnover of €14 million in 2016 in France and Luxembourg. This acquisition gives the NGE group access to one of the largest quarries in north-eastern France, thereby strengthening its business.

The NGE group now has nearly 9,500 employees and achieves turnover of €1.6 billion.

The CMS Bureau Francis Lefebvre team advising the NGE group comprised Christophe Lefaillet (partner), Isabelle Prodhomme (associate counsel), Matthieu Rollin for Corporate/M&A aspects, Dimitri Leboff (partner) and Sophie Mahy for tax aspects, Charlotte Félizot for real-estate law aspects and Céline Cloché-Dubois for environmental aspects.

CMS Luxembourg also advised the NGE group on Luxembourg aspects of the transaction, with Claude Feyereisen (associate counsel), Jehan Dupont Danzel d’Aumont and Stéphanie Villani.

The NGE group was also assisted by:

  • law firm EY in relation to the tax and HR audit, with Adrien Khaznadji for tax and Sophie Muyard for HR;
  • EY Transaction Advisory Services for financial and accounting auditing, with Denis Benquis (partner) and Adrien Claude.

LBO France was advised by the firm Jeantet, with Philippe Matignon (partner), Pascal Georges (associate counsel) and Blandine Lebreton.

Bpifrance Investissement was advised by Renault Thominette Vignaud & Reeve, with Olivier Renault and Jason Reeve (partners).

James Scheider was advised by Antinori, with Christophe Antinori (partner).
