CMS Francis Lefebvre advises Tennaxia

as part of a majority investment by Marlin Equity Partners and Bpifrance.

CMS Francis Lefebvre advises the sellers, founders and managers of Tennaxia, one of the leaders in HSE, CSR and ESG performance management software solutions as part of a majority investment by Marlin Equity Partners and Bpifrance.

CMS Francis Lefebvre acted as legal and tax advisor to the sellers, founders and managers of Tennaxia in connection with a majority investment by Marlin Equity Partners, a global software and technology investment firm (more than $8.5 billion in capital under management) alongside Bernard Fort and Maxime Delorme,  the founders, as well as Bernard Bourigeaud, historical shareholder, who reinvest in the operation. Bpifrance, which was already a minority shareholder, significantly increased its stake while Omnes Capital remained a significant minority shareholder.

This operation aims to develop Tennaxia's capabilities and accelerate its growth in the European market, to enable its customers to better evaluate and manage their extra-financial performance and to comply with the various societal and environmental requirements, specific to each industry and geographical area.

This new transaction illustrates CMS Francis Lefebvre's expertise in private equity and also demonstrates the firm's expertise in technology, CSR and ESG.

The CMS Francis Lefebvre team was coordinated by Thomas Hains and Edouard Milhac, partners.

Thomas Hains, partner, François Bossé-Cohic, lawyer, Antoine Melchior, lawyer, and Louise Paysant, lawyer, were in charge of the corporate/M&A and management package aspects of the transaction.

Edouard Milhac, lead partner for Tennaxia, and Inès Mzali, lawyer, were in charge of the tax aspects.
