TeamSystem has completed the sale of Nuovamacut Automazione, a company active in CAD and PLM solutions and the main Dassault Systèmes Solidworks partner in the Mediterranean area, to Bechtle, one of the leading providers of IT services and PLM solutions in Europe.
Bechtle, a German company with an extensive international presence, was assisted by CMS, with a multidisciplinary team that oversaw all stages of the acquisition, led by partners Pietro Cavasola and Tobias Schneider, with the support of partner Italo De Feo for IT, IP and privacy issues, Giacomo Cavasola for corporate matters and Paolo Scarduelli for matters relating to the so-called golden power, as well as associate Rocco Viggiano for corporate matters, senior associates Ilaria Romano and Gian Marco Lettieri for labour law matters, senior associates Annalisa Pistilli and Pasquale Distefano for IT, IP and privacy matters, and counsel Davide Marchetta for compliance matters. For tax aspects, CMS worked with partner Fabrizio Alimandi, senior associate Lorenzo Serena and associate Domenico Palange.
TeamSystem was assisted by the international law firm Gianni & Origoni, which handled all legal aspects of the sale process with a multidisciplinary team led by partner Gerardo Carbonelli, assisted on M&A aspects by counsel Olympia Noemi Foà, senior associate Graziano Cucchi and associate Francesca Leoni, Golden Power aspects by partner Francesco Salerno and associate Marco Grantaliano, labour aspects by partner Emanuele Panattoni and managing associate Paola Cavalli, and IP and IT aspects by of counsel Raffaello Stefano De Marco and associate Silvio Vicentini.
Teamsystem was also represented by its in-house team, led by Legal Affairs Director Gian Maria Esposito.
The acquisition of Nuovamacut further strengthens Bechtle's synergies with technology partners such as Dassault Systèmes and HP, expanding its offering in CAD, PLM and additive manufacturing.
