Miguel Viale is a partner in the Corporate/M&A and Banking & Finance practice at CMS Grau. He has more than 13 years of experience advising on corporate law, capital markets, project finance, and complex transactions.

His practice focuses on the design, structuring, and negotiation of sophisticated transactions, with particular expertise in highly regulated sectors such as hydrocarbons, energy, and mining. He has participated in transactions related to natural resources, providing a strategic perspective on the regulatory, operational, and commercial challenges involved.

His coordinated work with regulatory, environmental, and multidisciplinary teams enables him to provide comprehensive and business-oriented advice aimed at efficiently facilitating complex transactions.

In the academic field, he has served as an adjunct professor at the University of Lima and the National University of San Marcos.

  • Enagás Internacional | Advised Enagás Internacional, in its capacity as sponsor, on the financing of the Gasoducto Sur Peruano project in a project finance transaction exceeding USD 4.2 billion. 
  • Glencore Xstrata | Advised Glencore Xstrata on the sale of the Las Bambas Project for an approximate amount of USD 5 billion. 
  • Colbún | Advised Colbún (Chile) and ADIA (Abu Dhabi Investment Fund) on the auction process —including due diligence— and indirect acquisition of 100% of the shares of Fenix Power in a transaction valued at over USD 420 million. More recently, advised on the acquisition of 41.38% of the shares issued by Inversiones de Las Canteras S.A., thereby consolidating ownership of all issued shares of Las Canteras and becoming the sole controlling shareholder of Fénix. The transaction value exceeded USD 70 million. 
  • Boart Longyear | Advised the Boart Longyear Group on a Rule 144A bond issuance and a syndicated financing transaction for an approximate amount of USD 450 million. 
  • Silver Wheaton | Advised Silver Wheaton on the streaming financing granted to the Hudbay Group for the construction and development of the Constancia Project, for an approximate amount of USD 500 million. 
  • Falabella Group | Advised the Falabella Group on the acquisition of Maestro Perú S.A., including the related bridge financing of USD 490 million. 
  • Estacionamientos Rivera Navarrete | Advised Estacionamientos Rivera Navarrete on a financing granted by Interbank for an approximate amount of USD 35 million, representing the first project finance transaction related to the construction of an underground parking project in the city of Lima. 
  • Agua Azul | Advised Empresa Eléctrica Agua Azul and its shareholders on the financing of a hydroelectric power plant project valued at approximately USD 50 million. 
  • Transelec | Advised Chile’s leading electricity transmission company, holding a 78% market share and operating more than 10,000 km of transmission lines, on the negotiation of the terms and conditions of a medium-term loan granted by BCP. 
  • Credicorp Capital, Scotiabank and BCP | Advised in a club deal financing granted to Coca-Cola’s bottling company in Peru, including the structuring and negotiation of the financing. Approximate amount: USD 125 million. 
  • Santander | Advised Santander on the structuring of a master receivables assignment agreement with Alicorp, operating as a revolving financing facility based on collection flows. Approximate amount: USD 145 million.
