International law firm CMS has advised Brodvik AB on the sale of 100% of shares in SITS sp z o.o. to Actona Group A/S.
Brodvik AB is a Swedish wholesaler of furniture, carpets and lighting equipment. The buyer, Danish Actona Group A/S, is a producer and international distributor of furniture to customers from the B2B sector, actively investing and in the process of consolidating the upholstery industry in Europe. The Polish company SITS, founded in 1993, employs approximately 2,000 people. Operating on international markets, it designs and produces upholstered furniture, turning out almost a million couches and armchairs each year.
The transaction was subject to Swedish law. CMS provided assistance in the transaction process, in particular the coordination and advice on the Polish aspects of the due diligence of the buyer, as well as the terms and conditions of the SPA.
