CMS has one of the largest corporate teams in the City, with the expertise and capacity to deliver the most complex of transactions. The team is strongly embedded in the FinTech sector, working directly with the companies themselves, or advising on deals for private equity houses and venture capitalists.
We have acted on a number of substantial FinTech transactions, most recently on the sale of ClearScore, the financial technology business that gives customers free access to their credit score, which was bought by Experian for a value of £275 million. We have worked with ClearScore since its inception in 2015 across many different areas of law, including developing its business model and terms and conditions, advising on data protection matters and assisting with new product launches.

- members of Parmenion Capital Partners LLP, one of the recently described “Fintech 50 2015”, on its sale to Aberdeen Asset Management PLC. Parmenion provides risk-graded portfolios to UK financial advisers through a digital platform
- GoCardLess, a challenger international payments network, on a range of matters, including on a $22.5 million Series D fundraise, regulatory capital matters, payment matters, corporate structure advice and commercial contract matters
- Blenheim Chalcot, the UK’s leading venture builder, on numerous transactions, including the sale of Corporate Pay, a pre-paid card provider to Wrights Express, the sale of TDX (data solutions provider to consumer creditors) to Equifax the equity investment by Legal & General in Salary Finance, digital provider of employee finance as an employer benefit and its joint venture with Countrywide plc to set up Dynamo Mortgages, a digital mortgage broking venture
- the founders of AI platform provider RAVN Systems on its sale to iManage, the leading provider of documents management solutions
- Hera Finance Limited, a lender to professional practices, on various large scale funding transactions with their funders. We have also undertaken a review of the credit terms and conditions.
