An international CMS team led by CMS Austria has provided extensive legal advice to ALPLA Group, a world leader in the development and production of innovative packaging solutions, on the acquisition of the Bavarian company Heinlein Plastik-Technik GmbH. The deal closed on 12 June 2024. The parties have agreed not to disclose the details of the transaction.
“The transaction is further proof of our strong track record in cross-border projects in the industrial sector and especially in packaging. By acquiring the pharmaceutical packaging specialist Heinlein, ALPLA Group continues to grow its pharma division ALPLApharma, to accelerate its global expansion of business activities, and to add new, innovative technologies for high-quality primary packaging solutions to its product portfolio.
The CMS team provided extensive legal advice on structuring the transaction, due diligence review, transaction documentation and negotiations, as well as during signing and closing.
In addition to lead partner Alexander Rakosi (Corporate/M&A) and lead senior associate Marie-Christine Lidl (Corporate/M&A), associate Anna Hiegelsperger (Corporate/M&A) and partners Dieter Zandler (Competition) and Oliver Werner (Compliance) of CMS Austria also provided support during the acquisition. A large team at CMS Germany was responsible for the due diligence review in particular. Experts at CMS Spain advised on questions of Spanish law.
