CMS Rodríguez-Azuero advises GeoPark on the acquisition of Frontera Energy’s exploration and production assets in Colombia
· The transaction doubles GeoPark’s production and reserves, positioning it as the largest private oil and gas company in Colombia.
· Adds 99 mmboe of proved (1P) reserves and 147 mmboe of proved plus probable (2P) reserves, supporting projected production in excess of 90,000 boepd and an EBITDA of approximately USD 950 million by 2028.
· The purchase price amounts to USD 375 million in cash, plus USD 25 million contingent upon the achievement of certain development milestones.
Bogotá, January 30, 2026. CMS Rodríguez-Azuero advised GeoPark as Colombian counsel on the acquisition of the exploration and production (E&P) assets of Frontera Energy in Colombia, a transaction publicly announced by GeoPark that represents a milestone for the country’s private oil and gas market.
The transaction involves the acquisition of 100% of Frontera Petroleum International Holdings B.V., an entity that exclusively holds Frontera Energy’s oil and gas exploration and production assets in Colombia, and excludes the seller’s infrastructure assets and other businesses, as disclosed in GeoPark’s official press release.
The engagement was led by Álvaro Josué Yáñez, Managing Partner and Head of Energy & Climate Change, with significant involvement from the Corporate / M&A team, led by Juan Camilo Rodríguez and Associate Director Felipe Molano, and supported by a multidisciplinary team across the firm’s Energy & Climate Change, Environmental, Labor & Pensions, Banking & Finance, Compliance, Dispute Resolution, Antitrust, Competition & Trade, and Intellectual Property practices.

CMS Rodríguez-Azuero was appointed as Colombian legal advisor for this transaction in late 2025. Its role included conducting the Colombian legal due diligence and advising on the local aspects of the negotiation and transactional documentation.
As disclosed by GeoPark, the transaction has an effective date of January 1, 2026, and is subject to regulatory approvals and customary closing conditions.
