CMS advises energy exchange EEX on successful integration of Powernext and Gaspoint Nordic

09/01/2020

Leipzig – The European Energy Exchange (EEX) has successfully integrated French company Powernext S.A.S. and Danish firm Gaspoint Nordic A/S as of 1 January 2020. Powernext was merged with EEX. The Paris and Copenhagen locations will both be retained. Following the merger, all EEX products including natural gas markets are now available under one exchange licence. By taking this step, EEX is seeking to offer its customers a wide range of products and markets on a single platform, thereby simplifying access to its markets.

An international CMS team headed by lead partners Dr Jörg Lips (CMS Germany) and Benoît Provost (CMS France) advised EEX on all legal aspects of the transaction. This included advising on the choice of specific structure for the transaction, preparing the documentation and coordinating each of the measures required in Germany, France and Denmark (Bech-Bruun). A special challenge was that the merger had to be implemented in time for the start of trading to comply with regulatory requirements and ensure a smooth transition for market participants. CMS advises EEX Group on a regular basis.

EEX describes itself as the leading energy exchange in Europe. It develops, operates and connects markets for energy and related products. As part of EEX Group, a group of companies serving international commodity markets, EEX offers contracts on power, natural gas and emission allowances as well as freight and agricultural products. EEX also provides registry services in addition to its exchange activities. EEX is part of Deutsche Börse Group.
