CMS advises Hamburg-based investment partnership Vorsprung on acquisition of leading steel bridge builder ZSB Zwickauer Sonderstahlbau GmbH
Hamburg, 09.01.2025 – The Hamburg-based investment partnership Vorsprung Management GmbH (Vorsprung) has successfully completed the acquisition of ZSB Zwickauer Sonderstahlbau GmbH and the associated service provider Stahlbau Schönebeck GmbH, a leading specialist in constructing large steel bridges in Germany. The transaction marks a significant step in the transport infrastructure sector, a key industry for the future expansion and modernisation of German infrastructure.
CMS provided Vorsprung with comprehensive legal advice on the transaction. Under the leadership of Hamburg partner Dr Frederike Volkmann, the advice included drafting and negotiating the transaction documents, tax advice, merger control issues and optimising the group structure under corporate law.
Vorsprung is a partnership for direct investments in which over 30 European entrepreneurial families are involved as co-investors and which invests specifically in SMEs and impact ventures in the DACH region. With the acquisition of ZSB Zwickauer Sonderstahlbau GmbH and Stahlbau Schönebeck GmbH, Vorsprung is strengthening its commitment to sustainable infrastructure. Founded in 2004, ZSB Zwickauer Sonderstahlbau GmbH, with 180-year-old roots in Saxony, is the only owner-operated steel bridge builder among the six major market players in Germany and has established itself as a full-service provider for the construction and assembly of large steel bridges. Thanks to their unique production facilities in Zwickau, ZSB Zwickauer Sonderstahlbau GmbH and Stahlbau Schönebeck GmbH are together a key player in the urgently needed expansion of the transport infrastructure in Germany.
