CMS advises Harald Quandt Industriebeteiligungen on merger of pipe inspection technology specialists Rausch and minCam
Frankfurt/Main – Rausch GmbH & Co. KG (Rausch) and minCam GmbH (minCam) are joining forces. minCam, a specialist in push-rod camera systems acquired by Harald Quandt Industriebeteiligungen GmbH (HQIB) in May 2018, and Rausch, a company specialising in vehicle and mobile CCTV inspection systems, will leverage the resulting synergies to better address the growing global market for optical pipe and sewer inspection systems. Rausch and minCam will remain independent companies with their own brands, and the management of both companies will remain unchanged. The two companies will collaborate strategically and operationally as a corporate group. The details of the deal were not disclosed.
A CMS team headed by lead partner Dr Hendrik Hirsch advised HQIB on all legal aspects of the transaction. CMS also advised HQIB on structuring and setting up the industrial holding company.
Harald Quandt Industriebeteiligungen GmbH is a private equity initiative owned by the Harald Quandt family and a small number of selected (industrial) families and partners. Rausch GmbH & Co. KG is a world market leader in CCTV inspection systems and leak testing systems for optical pipe and sewer examinations. In addition to standardised vehicle build-outs, it also offers customised solutions. Established in 1983, the company has been operating worldwide since 2004 with a subsidiary in the US and selected partners. Rausch is based in Weißensberg on Lake Constance.
minCam GmbH is a leading company in the field of optical pipe inspection systems. Its headquarters are located in Fischen in the Allgäu region. The firm specialises in push-rod camera systems (pan & tilt and self-levelling systems), which are primarily used in smaller pipes.
