CMS advises Iqony Fernwärme on takeover of Uniper Wärme GmbH

Munich – Iqony Fernwärme GmbH, a member of the Steag Iqony Group, has signed an agreement with Uniper Kraftwerke GmbH, a member of Uniper SE, to acquire Uniper Wärme GmbH. The Steag Iqony Group is thus strengthening its position as one of the largest providers of climate-friendly heat in Germany. For Uniper, the sale is one of the conditions that the company must fulfil under EU state aid law.  

On 20 December 2022, the EU Commission approved the stabilisation package for Uniper under state aid law. As part of the approval, the EU Commission laid down a number of structural remedies that Uniper must implement. One of the conditions is the sale of its district heating business in Germany.

A CMS team led by Dr Nina Hartmann and Dr Andreas Hofelich provided Iqony with comprehensive employment and pension law advice in connection with the transaction. CMS has been successfully advising Steag in these areas for several years.

The Steag Iqony Group, based in Essen, combines two central elements of the energy transition under one roof: Steag Power ensures security of supply with its power plants and the development of modern energy hubs. Iqony develops and operates plants and solutions for a sustainable, climate-friendly energy future. A total of around 5,500 people are working on this worldwide.
