Eszter Török is senior counsel at CMS Budapest.  She advises on Corporate/M&A, Banking and Finance, Commercial and Life Sciences and Healthcare departments matters.

Eszter started her career at CMS having worked for the Budapest and London offices of CMS between 1995 and 2004. She then joined Teva Pharmaceuticals where she worked as General Counsel of the Hungarian Teva Group. She rejoined CMS in 2015.

Eszter participated in numerous financing and portfolio transfer transactions and has gained significant experience in the fields of corporate finance, property / company acquisitions, project financing, refinancings / restructurings, portfolio sales as well as in regulatory matters. 

Furthermore, Eszter has in-depth experience in negotiating commercial contracts, advising on corporate law and corporate governance issues and counselling on various property and M&A transactions, particularly in the financial services sector. She is also experienced in providing employment law, competition and compliance law advice. She is specialist of the pharmaceuticals sector having advised on key regulatory issues, projects, transactions and other matters. 

Eszter holds dual qualification as a lawyer in Hungary and as a solicitor of England and Wales.

  • One of the largest financial institutions in the world on the due diligence procedure of a retail financial institution.
  • One of the largest financial institutions in the world on the cross-border, high-profile due diligence exercise in relation to the planned acquisition of certain corporate loan portfolios in several European jurisdictions. Non-performing and performing loan portfolios were reviewed during the mandate.
  • A US based investment company on the due diligence procedure on the planned acquisition of a major Hungarian bank’s corporate loan portfolios, including performing and non-performing loan portfolios.
  • A syndicate of international banks on a revolving EURO loan facility to a multinational oil and gas company.
  • A group of Hungarian banks in relation to a project finance loan facility to a local paper production company.
  • An Italian bank on a EUR loan facility to a listed IT company.
  • A syndicate of banks on a EUR loan facility to the State of Montenegro.
