Lending Transactions

Transactions involving technology companies have certain characteristics that need to be reflected in how a deal is structured: how are rights held, what IP is available for security, how the technology generates cash, how data is used in the business.

CMS has a team that offers specialist advice to corporates, institutional investors, banks and funds with technology finance teams, many of whom have a strong FinTech focus.

The specialist banking team advises on loan and security arrangements, while our industry experts advise on the risks specific to each business and on enforcement strategy based on the particular assets. For corporates, we provide structuring advice and work to make groups as attractive as possible for lenders.

Right now we are working on funding deals involving ICOs, crypto-currencies, artificial intelligence technology, blockchain, and automation of the lending platforms.

Recent experience includes advising:

  • Bank of Ireland on its secured lending transaction to a listed company
  • ESF Capital on a £200 million fundraise for its SME lending platform
  • a direct lender on a £50 million secured lending transaction to a European payments business.
