No, however it is highly recommended and standard practice.

2. Do the following securities / deeds require to be registered in the Local Property Register and what fees are payable?

Generally, yes.

2.1 Pledge over shares in a limited liability company

If notarised yes, registration fees are payable – HRK 250 (approx. EUR 33) + VAT (25%).

2.2 Pledge over stocks in a joint-stock company 

Yes, with the Central Depository and Clearing Company – no registration fees are payable.

2.3 Pledge over (bank) accounts 

If notarised yes, registration fees are payable – HRK 250 (approx. EUR 33) + VAT (25%).

2.4 Security assignment of receivables / Pledge over receivables 

If notarised yes, registration fees are payable – HRK 250 (approx. EUR 33) + VAT (25%).

2.5 Pledge over Movable property 

If notarised yes, registration fees are payable – HRK 250 (approx. EUR 33) + VAT (25%).

2.6 Mortgage / land charge 

Yes. If notarised no registration fees have to be paid. If not notarised registration fees are payable – HRK 250 (approx. EUR 33)

2.7. Guarantee / surety / letter of comfort 

No.

2.8. Subordination of claims 

No.

2.9. Debenture 

Automatic registration by the notary public, no extra registration fees other than notarisation fees are payable.

3. Do the following securities / deeds require to be registered at the local Registrar of Companies and what fees are payable? 

3.1 Pledge over shares in a limited liability company 

No. Registration has to be made with the FINA Registry (if notarised) and in the company’s respective share register.

3.2 Pledge over stocks in a joint-stock company 

No. Registration has to be made with the Central Depository and Clearing Company and in the company’s respective stock register.

3.3 Pledge over (bank) accounts 

No. Registration has to be made with the FINA Registry (if notarised).

3.4 Security assignment of receivables / Pledge over receivables 

No. Registration has to be made with the FINA Registry (if notarised).

3.5 Pledge over Movable property 

No. Registration has to be made with the FINA Registry (if notarised).

3.6 Mortgage / land charge 

No. Registration has to be made with the Land Registry.

3.7 Guarantee / surety / letter of comfort 

No.

3.8 Subordination of claims 

No.

3.9 Debenture 

No. Automatically registered with the Debenture Registry by the notary public.
