CMS has advised Tridonic Holding GmbH on the strategic continuation and restructuring of its joint venture in India. The revised structure creates the foundation for expanding activities across the Indian market and further strengthening Tridonic’s long‑term presence in one of the world’s key growth regions.
Tridonic Holding GmbH, the holding company of the globally operating Tridonic Group and part of the international Zumtobel Group headquartered in Dornbirn, Austria, is a leading provider of intelligent lighting technology solutions. CMS advised Tridonic on the strategic restructuring and continuation of its existing joint venture in India, aligning the structure with current strategic and market requirements.
The transaction involved the adjustment of the joint venture framework originally established in 2019. Existing arrangements relating to distribution and technical know‑how were re‑evaluated and updated, resulting in a set of new contractual arrangements designed to facilitate closer cooperation between the partners and support the sustainable development of the business in India.
The decision was also made against the backdrop of the current free trade agreement (FTA) environment and aims to further strengthen Tridonic’s market positioning in India. “We see strong business opportunities in India over the coming years,” said Mr Heindl, Vice President International Business Development.
By continuing and refining the joint venture, Tridonic reinforces its footprint in a strategically important growth market and further expands its portfolio of electronic lighting components, lighting management systems as well as digital and industry‑specific solutions.
CMS advised on the transaction on a cross‑border basis through closely coordinated teams in Austria and India. The scope of advice included, in particular, the structuring and reorganisation of the joint venture under Austrian and Indian law, the revision and renegotiation of the joint venture documentation, and the coordination of implementation between the involved companies in both jurisdictions.
