CMS advises Borghese on cross-border project development and exit

Düsseldorf – Borghese Real Estate (Borghese) and Westerman Multimodal Logistics (Westerman) are establishing a 60,000 m² logistics centre in the GVZ Europark in Laar, Lower Saxony on the German-Dutch border. 

With this project, Borghese, a Dutch project developer specialising in innovative logistics properties, is entering the German market for the first time. The property will be used by Westerman in the future. Borghese is responsible for the development and has already achieved the sale of the project through a forward-funding structure to Necron Group.

A CMS team led by Philipp Schönnenbeck advised Borghese on all legal aspects of the complex cross-border structure. The advice included in particular the structuring of and participation in the project company, the implementation and coordination of due diligence, the signing of the lease and construction agreements as well as the sale of the project to Necron Group. The contact with Borghese resulted from CMS's international network. Borghese is already a long-standing client of CMS Netherlands.
