CMS advises Keller & Kalmbach and Münchner Schraubenhandel MSH on acquisition of key business activities of insolvent company Dresselhaus GmbH & Co. KG

Hamburg/Frankfurt am Main – As part of an asset deal, Keller & Kalmbach Group has acquired key business activities of Dresselhaus GmbH & Co. KG i.I. at the Maisach site. The transaction lays the foundation to continue the former Dresselhaus business operations long term under the newly established Münchner Schraubenhandel MSH GmbH & Co. KG.

The acquisition will ensure that jobs, long-standing customer relationships and valuable technical expertise are retained. At the same time, the acquired business will be integrated into Keller & Kalmbach Group and undergo further development, drawing on the Group's resources in the areas of procurement, sales, supply chain management, logistics and IT.

A CMS team led by Dr Susann Brackmann and Dr Berrit Roth-Mingram provided comprehensive legal advice to Keller & Kalmbach Group on this acquisition from an insolvent company. The advice focused on the legal aspects of structuring and implementing this transaction and all related insolvency law issues. One of the key focuses was on providing interim financing for the acquired business activities, as well as providing legal and operational support with separating the IT systems in the course of the transaction.
