Berlin – Two Luxembourg companies managed by Signature Capital GmbH, namely Greenstone Holdings S.à r.l. and Pessac Holdings S.à r.l., have acquired a portfolio comprising four commercial buildings in Berlin from Patrizia AG in a share deal. All the shares in four real estate firms were transferred in the course of the transaction. The properties acquired in Berlin have a total area of around 32,000 square metres and further development potential of 8,500 square metres.
A CMS team coordinated by partner Dr Andreas Otto and counsel Steffen König together with senior associate Dr Felix Stoecker advised Signature Capital on the legal aspects of the transaction. In addition to advice on the purchase and sales contract, the work also included drafting the warranty insurance through a W&I policy. Issues relating to financing law were also particularly challenging. Since the target companies were Dutch structures, a CMS team from the Netherlands was also involved.
Signature Capital has its offices in Berlin and focuses on property-based investment. To date, the company has conducted real estate transactions in Germany, the UK, the US and Ireland.
