Hamburg – The Canadian agricultural machinery manufacturer Buhler Versatile has acquired the ATLAS Group's business operations. The relevant agreements were signed on 11 June 2026.
The overall agreement covers the acquisition of the assets of the German companies Atlas GmbH, Atlas Spare Parts GmbH, Atlas Group Services GmbH and Atlas Kompakt GmbH, as well as all shares held by the ATLAS Group in the British company Atlas Cranes UK Ltd, in each case as part of the ongoing self-administration proceedings relating to the aforementioned selling companies. The transaction involves the assumption of the ATLAS Group's ongoing business operations and a significant proportion of its workforce. To support the ATLAS Group's management during the self-administration proceedings, the restructuring experts Dr Malte Köster and Dr Hans-Joachim Berner of KÖSTERBERNER were appointed as general representatives. Lawyer Hendrik Gittermann (REIMER Rechtsanwälte) was appointed by the local court as preliminary supervisor.
The transaction represents a significant milestone in the restructuring of the ATLAS Group and provides a clear outlook for the future. The parties agreed that the purchase price and other details of the transaction would remain confidential. The transaction is currently awaiting approval by the relevant authorities.
A CMS team led by Dr Berrit Roth-Mingram and Dr Susann Brackmann provided the ATLAS Group with comprehensive legal advice in connection with its sale out of insolvency. The advice primarily focused on the structuring and execution of the cross-border M&A transaction and all related insolvency and regulatory issues.
Despite the tight timeline within the ongoing insolvency proceedings, the transaction was brought to a swift conclusion with the signing of the agreement. The particular complexity lay in the structure involving multiple insolvent target companies, the coordination of insolvency law requirements, and ensuring a smooth operational transition.
The ATLAS Group is a long-established manufacturer of cranes, excavators, material handlers and other specialist machinery. The company has a long-standing presence in the European and international mechanical engineering sector and is particularly well known for its solutions in the field of lifting, material-handling and construction machinery technology.
