CMS advises the Hartmann Group on acquisition of incontinence brand Lindor in Spain and Portugal

Stuttgart – The Hartmann Group of Germany, a leading international supplier of medical and hygiene products, is planning to acquire the Lindor brand currently owned by Procter & Gamble (P&G), along with the associated assets. Lindor operates in the professional care sector and is one of the best-known adult incontinence brands in Spain and Portugal. Lindor generated sales of EUR 75 million in the last financial year. The transaction is scheduled for completion by the end of the second quarter of 2017 and is subject to approval by the local competition authority. The purchase price was not disclosed.

An international CMS team headed by partners Dr Tobias Schneider and Luis Miguel de Dios advised the Hartmann Group on all legal aspects of the transaction.

Under the acquisition agreement, Hartmann will acquire all P&G assets associated with the Lindor product range, including the entire Lindor product portfolio (Lindor, Salvacamas, Lindor Care, Lindor Pants), the intellectual property, all employee contracts and a 25,000 square metre production site in Montornés, Spain.

Based in the German town of Heidenheim, the Hartmann Group is an international provider of medical and hygiene products with core competences in wound treatment, incontinence care and infection prevention. The Group generated sales of almost EUR 2 billion in 2015 with a workforce of more than 10,300 employees. The companies in the Hartmann Group include Paul Hartmann AG, BODE Chemie, Karl Otto Braun, Sanimed and Kneipp, along with a number of foreign sales companies.

Procter & Gamble is a US manufacturer of consumer goods. Its corporate activities are focused primarily on developing and producing branded products for the beauty, fabric care and home care, hygiene, healthcare and baby care, food and beverage sectors. The portfolio includes brands such as Oral-B, Gillette, Always, Lenor, Head & Shoulders, Ariel and Pampers.
