CMS advises Vertiseit AB (publ) on cross-border acquisition of MuSe Content GmbH

Gothenburg / Düsseldorf – The Swedish listed company Vertiseit AB (publ) (“Vertiseit”) has acquired all shares in MuSe Content GmbH ("MuSe") and its generative AI platform StokedAI via its subsidiary Visual Art International Holding AB. MuSe is a pioneer in the field of AI-supported digital in-store audio messaging and in-store music. The acquisition strengthens Vertiseit's in-store experience management (IXM) platform, adds a strategic in-store audio component to its product range and opens up additional sales potential.

A Swedish-German CMS team led by Johannes Wårdman (Gothenburg, Sweden) and Christopher Freiherr von Lilien-Waldau (Düsseldorf, Germany) has provided comprehensive legal advice to Vertiseit on the cross-border transaction, including corporate law/M&A, capital markets law, due diligence, transaction structuring and contract negotiations. Vertiseit repeatedly relies on CMS's cross-border expertise, most recently in the summer of 2025 with the acquisition of mdt Medientechnik GmbH.

Vertiseit is a listed Swedish company with its headquarters in Varberg. The company develops and operates digital in-store experience solutions for the retail sector and other industries.
